The company secretary is responsible for providing strategic legal leadership and oversight across the Group. The role ensures legal compliance, mitigates risk, supports commercial objectives, and advises the board and executive management on all legal, regulatory and governance matters affecting the Group.
Duties & Responsibilities
* Ensure compliance with all statutory and regulatory requirements, including fillings with relevant authorities.
* Maintain statutory registers, company records, and corporate documents for the organization.
* Prepare and file annual returns, resolutions, and other statutory documents.
* Ensure proper implementation of Board decision and resolution.
* Serve as the principal legal adviser to the Group Managing Director and senior management
* Align legal strategy with the Group’s business objectives and risk appetite
* Liaise with regulators, external auditors, legal advisers and stakeholders
* Identify, assess, and mitigate legal and regulatory risks across the Group.
* Manage disputes, claims, arbitrations, and litigation involving contractors, vendors, buyers, regulators and third parties.
* Coordinate and supervise external counsel and legal consultants
* Oversee compliance with Labor, safety, environmental, and industry-specific regulations.
* Ensure the company’s memorandum and article of association are complied with and updated when necessary.
* Liaise with regulators, land registries, government authorities, and professional advisers
* Lead and manage group team across subsidiaries
* Develop internal legal policies, procedures and training program
Requirements
* BSc in Law, Business Administration or any relevant field
* Minimum of 10 – 12yrs experience in similar position
* Registration/Membership to a relevant professional body such as ICSA is required
* Strong knowledge of corporate law, governance principles and regulatory compliance
* High level of integrity, discretion and professionalism
* In-depth knowledge of property law, construction contracts, land tenure system and regulatory framework
* Strong commercial and strategic legal acumen
* Expert contract drafting and negotiation skills
* Risk management and problem-solving ability

* Strong presentation and computer skills; proficient in Microsoft office suite (Word, Excel & PowerPoint)
