Legal Risk Management

  • Analyse identified legal risks and identify appropriate internal control mechanism(s) to address same.
  • Propose mitigation measures to address legal risks.
  • Identify potential liability and propose appropriate mitigation measures.

Negotiation Support

  • Participate in negotiation processes under supervision.
  • Appreciate the different positions / interests and needs of parties in negotiations.
  • Anticipate the reactions of parties to alternative negotiation outcomes.
  • Conduct research on areas of laws relevant to particular negotiation points.
  • Proffer initial legal opinion on issues for negotiations based on research undertaking.

Legal Research and Drafting Support

  • Engage relevant in-house stakeholders to ascertain relevant facts, analyse same and assess potential legal issues.
  • Analyse statutory/contractual provisions relevant to identified issues.
  • Apply applicable laws to relevant factual issues to develop a research brief.
  • Be abreast with developments in the law and best practices in relevant areas.
  • Interpret accurately the substance of statutory/contractual provisions and their relevance to an issue.
  • Develop initial drafts to address identified legal risks, and mitigation measures.
  • Provide drafting support for contract models in use.
  • Review contractor qualifications to company’s standard T&Cs, advise on acceptability or otherwise and, where appropriate, modify clauses to reflect qualification to protect Company’ interests.

Interdisciplinary Environment

  • Demonstrate reasonable understanding of the core business of WAPCo.
  • Undertake research on legislative and regulatory changes affecting the core business of the company and identify opportunities for internal policy reforms.
  • Provide counsel to various divisions on the import and application of relevant laws, regulations, etc. with support or supervision from senior colleagues for complex issues.

Provide legal support for the Gas Transportation Business

  • Undertake preliminary legal and commercial risks assessment and propose mitigation measures to optimize the value chain.
  • Provide legal research, negotiation and drafting support for a broad range of simple and moderately complex commercial agreements/documentation as required.

Support the Division’s Legal Secretariat Functions

  • Maintain up to date soft/hard copy records of key corporate minutes and other relevant documents.
  • Prepare drafts of key corporate documents and records.
  • Prepare relevant materials for statutory filing.
  • Organise materials and presentations for key corporate meetings and support the coordination of such meetings.
  • Liaise with Corporate Office in Bermuda to update company’s statutory records.
  • Undertake research to inform the preparation of legal opinions on corporate secretarial issues and proffer legal opinions on same as required.
  • Serve as secretary at assigned meetings.

Case Management/Dispute Resolution

Litigation Management

  • Demonstrate good understanding of substantive and procedural law.
  • Demonstrate good understanding of elements of the various dispute mechanisms and identify appropriate dispute mechanism to be adopted in particular circumstance.
  • Assess claims, extract relevant facts, evidence and determine implicated legal principles and proffer initial legal advice on Company’s rights and remedies.
  • Draft position papers/memoranda on moderately complex matters in dispute to facilitate decision-making;
  • Prepare initial drafts of processes articulating Company’s position re matters in dispute for filling as appropriate;
  • Represent the company in court or other dispute resolution fora.
  • Draft letters of engagement for simple legal matters.
  • Analyse and communicate relevant data/ information/evidence to external counsel.
  • Review drafts of pleadings and other documentation prepared by external counsel.
  • Develop and maintain a Cause List of all cases and matters involving the Company.
  • Undertake contingent liability analysis of matters involving the Company and make recommendations on requisite financial provisions to be made.

Internal Divisional Duties

  • Assist Senior Colleagues to perform sundry administrative functions crucial to the work of the Division.
  • Work with National Service Persons/Interns to facilitate the administrative functions of the office of the General Counsel.
  • Other Duties as assigned by Senior Colleagues.


Working Experience and Educational/Academic Background

  • Bachelor of Laws; with minimum of five (5) years' post graduate experience
  • Professional Law Certificate; with minimum 3 years' post-call experience
  • Reasonable experience in both civil and criminal legal practice
  • Experience in Oil and Gas industry will be an advantage
