Job Summary
We are seeking an experienced legal professional to join our team as Head of Legal. In this role, you will provide strategic legal leadership across the business, support compliance with financial regulations and assist in managing relationships with the Bank of Ghana (BoG) and other regulatory bodies.

You will play a critical role in enabling business growth while managing legal and regulatory risk, supporting commercial activities, and strengthening governance frameworks. This role requires deep expertise in financial services regulation and fintech, along with strong business acumen.


Key Responsibilities:

Legal Advisory & Contract Management: 

  • Provide legal advice and guidance on all matters affecting the organization’s operations, strategy, and risk exposure. 
  • Draft, review, and negotiate commercial contracts, agreements, and legal documents to protect Fido’s interests.
  • Oversee the full contract lifecycle, including approvals, renewals, amendments, and terminations. 
  • Manage and coordinate external legal counsel as required, ensuring cost-effectiveness and quality of advice. 


 Board & Corporate Governance:

  • Serve as Company Secretary and lead all board secretarial functions.
  • Coordinate board Committee and AGM meetings, including preparation of agendas, papers, and minutes. 
  • Track and follow up on action items arising from Board and Committee meetings to ensure timely execution and closure. 
  • Ensure effective, and timely communication between the Board and Management. 
  • Ensure compliance with corporate governance standards, regulatory requirements, and internal governance frameworks. 
  • Support Board and Committee effectiveness through performance assessments, training, and adherence to charters and policies. 


Regulatory & Compliance Support:

  • Provide support in fostering a strong compliance culture through training, awareness, and enforcement of policies and directives.
  • Assist in the review of regulatory filings, disclosures, and responses to regulatory inquiries.
  • Monitor changes in laws and regulations, evaluate their business impact, and provide guidance to management. 
  • Support engagement with the Bank of Ghana (BoG) and other regulators by providing legal input for licensing processes, regulatory submissions, and audit.

Who you are

  • Law degree (LL.B./J.D.) from a recognised law school.
  • Licensed to practice law in Ghana, and in good standing.
  • Minimum 7 years of legal experience in financial services, including in-house roles and/or law firm experience advising financial services institutions.
  • Experience in negotiating and drafting a wide range of commercial and technology related licensing agreements.
  • Strong business acumen and the capacity to integrate legal and business strategies.
  • Excellent analytical, writing and presentation skills and ability to solve problems creatively.
  • Excellent interpersonal skills and ability to advise all management levels.
  • Ability to negotiate positively and proactively and work efficiently
  • Ability to identify and prioritize key deliverables, to manage a large volume of projects, and to meet demanding deadlines.
  • Ability to work independently and be an excellent team player.
